Galleris Terms of Use

Version 0.6, 30 October 2026.

The website at www.gallerismuseum.com and the applications served from it (together, the "Site") are owned and operated by Hoo Socials Limited, a company registered in Nigeria with RC number 1974588, whose registered address is 10 Oyelowo Close, Surulere, Lagos ("Company," "Galleris," "us," "our," or "we").

These Terms of Use ("Terms") are in two parts.

Please read Sections 5 (money), 11 (disclaimers), 12 (limits on what we are responsible for) and 14 (suspension and ending) carefully. They affect your rights.

The short version. This box is a summary to help you read the rest. It does not replace it.

Definitions. In these Terms:

"Including" means "including without limitation." Headings are for reading only and do not change what a clause means.

Part A: For Visitors

You do not need an Account, and you are not asked to agree to anything, to open a Gallery or scan its codes. This Part tells you what you are looking at and who to go to.

A1. Who runs a Gallery. Each Gallery is made and run by its Gallery Owner, not by us. The Gallery Owner chooses what is in it, what it says about each Work, its prices, and who may open its Archive. We provide the software and host the files.

A2. What we collect about you. Almost nothing. The Privacy Notice says exactly what, for how long, and how to have it deleted.

A3. Buying a Work. If a Gallery shows a Work as available, Enquire opens WhatsApp or email to the Gallery. Any sale is between you and the Gallery. We are not a party to it.

A4. Paying to open an Archive.

A4.1 The Gallery is the seller. You pay on Paystack's own page, not on ours, and your card details go only to Paystack.

A4.2 One payment opens the Archive for 30 days (monthly) or 365 days (yearly), as the Gallery shows. It does not renew by itself and nothing is taken from your card again.

A4.3 Your access is kept in the browser on the device where you paid. Clearing that browser's data, or using another device, loses it.

A4.4 Ask the Gallery for a refund. If the Gallery does not answer, tell us as Section 13.8 says and we will help where we can.

A4.5 Nothing here takes away a right the law gives you as a consumer, including under the Federal Competition and Consumer Protection Act 2018.

A5. Signing in, saying you are coming, and leaving a Note.

A5.1 To open an Archive or leave a Note, you sign in with your email address and a code we send to it. That gives your address to the Gallery, which may write to you about your sign-in. It may send you news only if you ticked the box asking for it. The box is never ticked for you.

A5.2 Saying you are coming to a show gives the Gallery your name, your email address and how many of you are coming, for its door list.

A5.3 A Note and a heart stay on your own phone. They reach nobody.

A5.4 Signing in, saying you are coming and leaving a Note are for people aged 18 or over.

A6. Telling us about a problem. If something in a Gallery uses your work without permission, is about you and is untrue, or breaks the law, tell us as Section 7 says. If you want off a Gallery's list, use the link at the foot of any email the Gallery sends, or ask the Gallery.

Part B: For Account Holders

1. Making This Agreement, and Accounts

1.1 How you agree. You agree to these Terms by ticking "I agree to the Terms and the Privacy Notice" when you make an Account. That tick is your electronic signature. We record which version you agreed to and when, and keep that record while your Account exists. If you agree for an organisation, you confirm you have its authority to do so, and "you" means that organisation too. If you do not agree, do not make an Account.

1.2 Age. You must be 18 or over to make an Account.

1.3 Signing in. There is no password. We send a six-digit code to your email address, or you sign in with Google. Keep access to that email address and that Google account to yourself. You are responsible for what is done through your Account. If you think somebody else has used it, tell us at once, as Section 13.8 says.

1.4 Your username and Galleris ID. Every Account has a username, which you choose and may change, and a Galleris ID, which we make. Anybody signed in to the Site can look you up by either and see your full name, username, Galleris ID, and your Galleries' names and logos. They never see your email address. You may not choose a username that pretends to be another person, a gallery you do not represent, or us. We may change one that does, and will tell you why.

1.5 Your details are accurate. You agree to give an email address that is yours and to keep your Account details true.

1.6 When we look at your Account. We may open your Account and your Galleries to help you, to keep the Site safe, or to check these Terms are kept. Each time we do, who looked and when is recorded, as the Privacy Notice says.

1.7 Closing your Account. You may ask us to close your Account at any time, as Section 13.8 says. We will ask whether you also want your Published Galleries taken down, because the codes printed from them may be on walls. If you ask us to keep a Gallery up, it stays up without its Archive, its show RSVPs or its Notes, because nobody would be left to look after the people on those lists. If you do not tell us, we take your Galleries down when we close your Account, and every code printed from them stops working. The Privacy Notice says what is kept afterwards and for how long.

2. Using the Site

2.1 Licence. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Site to build, publish and run your own Galleries, including for your business.

2.2 Restrictions. You may not: (i) sell, rent, license or resell the Site itself; (ii) copy, modify, reverse-engineer or try to extract the source of any part of the Site, except as the law allows; (iii) use the Site to build a competing product; (iv) try to get into any part of the Site, an Account or a Gallery that is not yours; (v) test the Site's security without our written permission; or (vi) overload, disrupt or automatically collect data from the Site.

2.3 Changes to the Site. We may change, suspend or stop any part of the Site. If a change takes away something you rely on in a Published Gallery, we will tell you by email at least 30 days before, unless we must act sooner for security or because the law requires it. Section 14.4 says what happens if we stop the Site altogether.

2.4 Support. We help where we can, on WhatsApp. We do not promise a response time unless we agree one with you in writing.

2.5 What we own. The Site, its software, its design and the Galleris name and mark belong to us or our suppliers. These Terms give you no ownership of them. All rights not expressly granted are reserved.

2.6 Feedback. If you send us feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, non-exclusive, royalty-free licence to use them for any purpose, without naming you. Please do not send anything you consider confidential.

2.7 Counts and statistics. We count how the Site is used, as the Privacy Notice describes, to run it, fix it and make it better. We may publish totals, such as how many Galleries are Published, if they identify no person and no Gallery.

3. Your Material

3.1 You keep it. You, or whoever gave you permission, own Your Material. We own none of it.

3.2 You have the right to publish it. You promise that you own Your Material or have every permission needed to publish it in a Gallery and to give us the licence in Section 3.3. For an artwork that usually means two permissions: the artist's, to show the work, and the photographer's, unless you took the photograph yourself. You also need the permission of anybody who can be recognised in a photograph or heard in a recording, and of anybody whose personal details you publish. You promise that what you say about each Work, including who made it, where it came from and whether it is for sale, is true to the best of your knowledge.

3.3 The licence you give us. You grant us a worldwide, non-exclusive, royalty-free licence to store, copy (including smaller copies for lists), and show Your Material at your Gallery's link and through its codes, and to pass it to the service providers listed in the Privacy Notice so they can do the same for us. The licence is only so that we can run your Gallery and the features you turn on for it. It ends when you take the material out of your Gallery and send the change, or when your Gallery is taken down, except for: (i) copies in our backups, which are kept for no more than 30 days; and (ii) copies already saved on Visitors' devices, which we cannot reach (Section 3.5).

3.4 What we do not do with it. We do not sell Your Material or your Works unless you agree to it first. If we ever sell a Work, we do so only on your behalf. We do not use Your Material to train artificial intelligence for ourselves unless you agree to it first. Any we train on it for you is for your own use. Gaid, our voice guide, uses your Gallery's words to answer Visitors' questions only if you turn Gaid on for that Gallery. We do not show your Gallery as an example on our own site, in our posts or to anybody we are selling to, unless you agree to it in writing first.

3.5 Published means public. Publishing sends your Gallery to our storage so that anybody with its link or a code can open it, and anybody can read the files that make it up. We cannot control what other people, search engines or other services do with a Published Gallery once they have opened it. A Visitor's phone saves the pictures and recordings of a Gallery it has opened, so that it works with no signal. Those copies may stay on the phone after you change or remove them, until the phone's browser clears them. We cannot reach them.

3.6 Drafts stay on your device. Until you press Publish, a Gallery is a Draft kept only in your own browser. We cannot see it, back it up or recover it. Clearing your browser's data deletes it. The Studio's Export lets you download a copy of your Gallery at any time.

3.7 After you Publish. What is at the link is the last version you sent. Changes you make afterwards are sent only when you press the button to send them. Once Published, a Gallery's Link Name cannot be changed, because every code printed from it points at that name. The Studio has no way to unpublish; to take a Gallery down, tell us as Section 13.8 says.

3.8 Limits. Each Gallery has the storage and file limits shown in the Studio. We may refuse a file over them, and a file of a type the Studio does not accept.

3.9 Collaborators. Inviting Collaborators is part of the paid plan in Section 4.3. A Collaborator must have an Account and is bound by these Terms. What a Collaborator adds is only a suggestion until you approve it. By sending it, a Collaborator grants you a non-exclusive, worldwide, royalty-free licence to use it in your Gallery for as long as the Gallery exists, including to edit it, unless the two of you agree otherwise in writing; and grants us the licence in Section 3.3 for it. The Collaborator keeps ownership. Suggestions you do not approve, and their recordings, are deleted 30 days after the invitation ends.

4. Plans

4.1 Free. A free Gallery does not run out. It carries the "Powered by Galleris" mark, which links to us, in the Gallery and on its printed labels. You agree not to remove or hide it.

4.2 Trial. A trial is made by us, at our invitation, and lasts 14 days. When it ends, the Gallery ends: its name, colours, opening hours, shows, Archive, link and every code printed from it stop working. The collection stays: the Works, photographs, recordings and words stay in the Studio on the device where they were being edited.

4.3 Paid. The paid plan includes Collaborators. It is free for now. Upgrading changes your Account, not your Gallery: the "Powered by Galleris" mark stays on your Gallery until you have paid for the plan. If we start charging for it, you have 14 days from the day charging starts to pay before the paid features stop. If you do not pay, the paid features stop and nothing of yours is deleted.

5. Selling, Archives and Payments

5.1 Enquiries and sales. Where a Gallery shows a Work as available, an enquiry goes straight to the Gallery by WhatsApp or email. Any sale is between the Gallery Owner and the person buying. We are not a party to it and do not handle the Work, its price, its delivery or its title.

5.2 Selling access to an Archive. A Gallery Owner may charge Visitors to open its Archive. The Gallery Owner is the seller and is responsible to the Visitor for what is behind the door. Payment is taken by Paystack on Paystack's own page. Through our Paystack account, Paystack splits each payment as it is made and sends the Gallery's share straight to the bank account the Gallery Owner gave in the Studio. We never hold a Gallery's money. A Gallery Owner may instead use its own Paystack account, in which case the payment is between the Gallery Owner and Paystack alone, and we never see it.

5.3 Our share. We may keep a share of each Archive payment that goes through our Paystack account. The Studio shows our share before a Gallery turns payments on. The Visitor pays the price the Gallery set. Paystack takes its own fee out of the Gallery's share and settles the rest to the Gallery. The Gallery Owner pays Paystack's fee, out of its share. Paystack sets its own fee and publishes it at paystack.com/pricing. Our share does not apply where a Gallery Owner uses its own Paystack account. If we change our share, a Gallery already taking payments through us is told by email first, and the change applies only to payments made at least 30 days after that email (Section 13.1).

5.4 Prices. A Gallery Owner sets its own price, which may not be below the minimum the Studio shows for its currency.

5.5 Refunds and chargebacks. A Visitor asks the Gallery Owner for a refund, and the Gallery Owner decides it in line with the law. The Studio cannot make a refund yet: to refund a payment made through our Paystack account, the Gallery Owner tells us as Section 13.8 says, and we make the refund through Paystack. If Paystack takes back a payment, by a refund or a chargeback, from our Paystack account after the Gallery's share was paid to it, the Gallery Owner will repay us the Gallery's share of it and any fee charged on it, within 14 days of our asking. Until it does, payments through us for that Gallery are paused.

5.6 Checks. To meet the law on money laundering, fraud and sanctions, we and Paystack may ask a Gallery Owner to prove who it is and who owns or controls it, and may pause or refuse a payment or a payout. You confirm that neither you nor anybody who owns or controls you is on a sanctions list of Nigeria, the United Nations, the United Kingdom, the European Union or the United States. We keep payment records as the law requires and report to the authorities where it requires us to.

5.7 Tax. Each Gallery Owner is responsible for the tax on its own sales.

5.8 Paystack's terms. Setting up payments means agreeing to Paystack's own terms as well (paystack.com/terms).

6. Personal Data

6.1 The Privacy Notice. The Privacy Notice says what Personal Data we collect, why, who holds it, for how long, and how to have it deleted. It is part of these Terms. If the two disagree about Personal Data, the Privacy Notice controls. The Nigeria Data Protection Act 2023 is the law we work to, and the Privacy Notice has a section for people in the UK and the EU.

6.2 Gallery Lists. For the Gallery Lists, the Gallery Owner is the data controller and we are its data processor. Annex A is our agreement as processor and is part of these Terms.

6.3 What a Gallery Owner must do. You agree to: (i) use the Gallery Lists only as the law allows, including the Nigeria Data Protection Act 2023; (ii) write news only to people who ticked the box asking for it; (iii) honour a request to leave; (iv) keep any copy you download safe, and delete it when you no longer need it; and (v) answer requests from people on your lists about their own data, with our help as Annex A says.

6.4 Cookies. The Privacy Notice says which services set cookies, on which parts of the Site. The visitor guide sets none.

7. Reports, Takedown and Decisions

7.1 Telling us. Anybody, Visitor or not, may tell us about material on the Site they believe is unlawful or breaks Section 9, by email to legal@gallerismuseum.com (Section 13.8). Say what it is, where it is on the Site, and why.

7.2 Copyright notices. If you own the copyright in something Published on the Site and did not give permission, your notice must be in writing and signed, name each work, say where it is on the Site, give your contact details, and state that the use is not authorised and that you own the rights or may act for the owner.

7.3 What we do. On a valid copyright notice we promptly tell the Gallery Owner who Published the material, remove it or disable access to it, and tell you that we have. Copies already saved on Visitors' phones are outside our reach (Section 3.5). For other reports, we look at the material and may remove it, restrict it, or suspend the Account that Published it.

7.4 Counter-notice. A Gallery Owner who believes the material was removed by mistake, or that it has the right to publish it, may send a counter-notice, which we pass to the person who sent the notice. If they do not answer within seven days, we may put the material back.

7.5 Reasons. When we remove or restrict your material, or suspend your Account, we tell you what we did, why, and which part of these Terms or which law it rests on, unless the law or a risk to somebody's safety stops us. You may ask us to look at the decision again, and a different person will do so where we can.

7.6 Repeat infringement. We may suspend or close the Account of anybody who repeatedly publishes material they have no right to.

7.7 Orders. We act on a lawful order of a Nigerian court or regulator.

8. Indemnity

This Section applies only if you use the Site for a business, trade or profession. It does not apply to Visitors, or to a person using the Site for themselves and not for a business.

You agree to cover us, and our officers, employees and agents, against claims by other people, and the reasonable costs and legal fees of meeting them, to the extent that they arise from (i) Your Material, (ii) your sales, your Archive or your Gallery Lists, (iii) your breach of these Terms, or (iv) your breach of the law. This does not apply to the extent a claim was caused by what we did or failed to do. We will tell you promptly of any claim we learn of. We may take over the defence of such a claim, and you agree to help. You may not settle such a claim in a way that admits fault for us without our written consent.

9. What May Not Be Published or Done

You may not use the Site to publish or do anything that:

We may take down material that breaks this Section, and suspend the Account that Published it, as Sections 7 and 14 say.

10. Other Services and Other People

10.1 Other services. The Site uses other companies' services, including Paystack for payments, Google for sign-in, and WhatsApp and email for enquiries. Their own terms apply to your use of them, and we are not responsible for them.

10.2 Other people. What happens between a Gallery Owner and its Visitors, Collaborators or the people it buys from and sells to is between them. We may help with a dispute but have no duty to.

11. Disclaimers

The Site is provided "as is" and "as available". To the fullest extent the law allows, we give no promises, express or implied, including that the Site is of satisfactory quality, fit for a particular purpose, or does not infringe anybody's rights. We do not promise that the Site will always be available, free of faults, or secure. Because a Draft is kept only in your browser (Section 3.6), keep your own copies, with Export, of anything you cannot replace. Nothing in this Section takes away a promise the law makes for you and does not let us exclude.

12. Limit on What We Are Responsible For

12.1 What we are not responsible for. To the fullest extent the law allows, we are not responsible for lost profits, lost sales, lost data, or any indirect or consequential loss arising from these Terms or the Site.

12.2 The most we pay. To the fullest extent the law allows, our total responsibility to you for all claims arising from these Terms or the Site is limited to the greater of what you paid us in the 12 months before the event that gave rise to the claim, and ₦100,000. More than one claim does not raise this limit.

12.3 What is never limited. Nothing in these Terms limits our responsibility for death or personal injury caused by our negligence, for fraud, for what we did deliberately or recklessly, or for anything else the law does not let us limit, including a right you have under the Federal Competition and Consumer Protection Act 2018 or the Nigeria Data Protection Act 2023.

13. General

13.1 Changes to these Terms. We may update these Terms. Each version has a number and a date at the top, and earlier versions are kept on the Site. If a change is material, we will email you at least 30 days before it takes effect, and ask you to agree to the new version before you next Publish or send changes. If you do not agree, you may close your Account before it takes effect. A change we must make sooner because the law requires it, or to fix a security problem, takes effect when we tell you. A change that is not material, such as a correction, takes effect when we post it.

13.2 Law and courts. These Terms, and any dispute about them or the Site, are governed by the laws of the Federal Republic of Nigeria. The courts of Lagos State have exclusive jurisdiction. Before going to court, either side will first write to the other and try in good faith to settle the dispute within 30 days. We will offer mediation at the Lagos Multi-Door Courthouse. You may accept it or refuse it. If you are a consumer living outside Nigeria, this does not take away the protection of the law where you live, or your right to go to your own courts where that law gives it.

13.3 Emails and notices from us. By making an Account you agree that we may send you: sign-in codes; one welcome email; an email when your Gallery goes live; invitations to collaborate; and notices about your Account, your Gallery, payments and these Terms. We may also write to you on WhatsApp where your Gallery publishes a number. These satisfy any legal need for written notice. We send notices to the email address on your Account. We do not send you marketing.

13.4 Notices to us. Send a notice to us by email to legal@gallerismuseum.com. A notice about a breach of these Terms, a claim or a dispute must also be sent in writing to our registered address.

13.5 Accessibility. We aim to meet the Web Content Accessibility Guidelines (WCAG) 2.2, level AA, and test the Site against it. Each Gallery Owner is responsible for the words and pictures in its own Gallery, including descriptions of pictures for people who cannot see them. If anything on the Site is hard to use, tell us as Section 13.8 says.

13.6 Whole agreement. These Terms, the Privacy Notice and Annex A are the whole agreement between you and us about the Site. If a court finds a provision unenforceable, it is changed only as much as needed and the rest stays in force. Not enforcing a provision does not waive it.

13.7 Copyright and marks. Copyright © 2026 Hoo Socials Limited. All rights reserved. You may not use the Galleris name or mark without our written consent, except as the free plan's mark does in Section 4.1.

13.8 Contact. Hoo Socials Limited, 10 Oyelowo Close, Surulere, Lagos, Nigeria. WhatsApp: +234 905 937 1877. Email: legal@gallerismuseum.com.

13.9 Passing these Terms on. You may not transfer your rights under these Terms without our written consent. We may transfer ours to a company that takes over the Site, and will tell you if we do; your rights under these Terms go with them.

13.10 Events outside anybody's control. Neither of us is in breach for a delay or failure caused by something outside its reasonable control, such as a failure of the power or internet supply, a fault at a provider we rely on, a strike, a riot, a disaster, or an act of government, if it tells the other as soon as it can and keeps trying. This does not excuse a payment that is owed.

13.11 Relationship. Neither of us is the other's agent, partner or employee.

13.12 Other people's rights. Nobody other than you and us has a right to enforce these Terms.

13.13 Language. These Terms are written in English. If we translate them, the English version controls.

14. Suspension and Ending

14.1 By you. You may stop using the Site at any time and ask us to close your Account, as Section 1.7 says.

14.2 By us, for a breach. We may suspend or close your Account, or take a Gallery down, if you seriously break these Terms or the law, or if we must to protect Visitors, other people or the Site. Where we can, we tell you first and give you a fair chance to put it right. We always give reasons, as Section 7.5 says.

14.3 A free Gallery. We will not end a free Gallery because it is free, or without a reason in this Section.

14.4 If we stop the Site. If we stop offering the Site altogether, we will tell you by email at least 90 days before, and Export keeps working throughout, so that you can take a copy of your Galleries.

14.5 What continues. Sections 2.5, 2.6, 3.1, 5.5, 5.6, 6, 7, 8, 11, 12, 13 and Annex A (for as long as we hold any Gallery List) continue after your Account closes.

Annex A: Looking After Your Gallery Lists

This Annex is our agreement as your data processor, under section 29 of the Nigeria Data Protection Act 2023 and, where it applies to you, Article 28 of the UK or EU GDPR. It is part of these Terms.

A1. What we process, and for whom.

ItemWhat it is
SubjectThe Gallery Lists of a Gallery that turns on an Archive, show RSVPs, or Notes
Whose dataVisitors who sign in to the Archive, say they are coming to a show, or leave a Note
What dataEmail address; the name typed; whether they asked for the Gallery's news; when they joined, last signed in or left; a random unsubscribe token; for a show, how many are coming and when they said yes; for a Note, its words and the Work it is on
What we do with itStore it, send sign-in codes, show it to the Gallery Owner in the Studio, export it as a file, and take people off when they ask
How longArchive members: until the Gallery stops existing, or three years after the person last signed in, whichever is first. Show RSVPs: 180 days. Notes: not stored by us. Everything: deleted within 30 days of the Gallery Owner asking, and from our backups within a further 30 days, unless the law requires us to keep it
Sensitive dataNone is asked for. Do not ask Visitors for it in a Note or a name

A2. Only on your instructions. We process the Gallery Lists only to provide the features you turn on in the Studio, and as you direct there. We do not use them for our own purposes, sell them, or mail the people on them. If the law requires us to do anything else with them, we will tell you first, unless the law forbids it.

A3. Confidentiality. Only people who need to, to run the Site, can reach the Gallery Lists, and each is told to keep them confidential.

A4. Security. We keep the measures described under "Security" in the Privacy Notice, including: the tables holding addresses cannot be read with the Site's public key; a list is read one Gallery at a time with that Gallery's own key or its owner's session; and sign-in codes are stored only as one-way scrambles.

A5. Other processors. You agree that we may use the service providers listed in the Privacy Notice. We will tell you by email at least 30 days before we add or replace one that handles Gallery Lists. If you object on reasonable data protection grounds, you may turn the feature off or close your Account before the change.

A6. Requests from the people on your lists. We pass any request we receive about a Gallery List to you and tell the person we have. The Studio lets you see, export and remove entries, and every email you send carries a one-press way off the list.

A7. If something goes wrong. If we learn that a Gallery List has been seen, changed, lost or taken by somebody who should not have it, we will tell you without undue delay, with what we know, so that you can tell the Nigeria Data Protection Commission within 72 hours if you need to (section 40 of the Act). We will tell the Commission ourselves where the law asks us to.

A8. Help with your own duties. We give you the information you reasonably need to show you are meeting your duties for the Gallery Lists, and answer your written questions about our measures once a year, or after an incident.

A9. Data leaving Nigeria. The Gallery Lists are stored by Supabase in Ireland and sent through the providers in the Privacy Notice, some of them in the United States, on the footing the Privacy Notice describes.

A10. At the end. When your Gallery stops existing, or you close your Account, we delete the Gallery Lists within 30 days, and from our backups within a further 30 days, unless the law requires us to keep them. A Gallery that stays up after its owner's Account closes keeps no Gallery Lists (Section 1.7). Download a copy first if you want one.
